Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AyuraCliniQ clinic management software, including our website, signed-in workspace, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a clinic, you represent that you have authority to bind that clinic.

AyuraCliniQ provides software for clinic administration, including patient records, appointments, queue management, consultation documentation, prescriptions, clinic billing and invoices, reports, staff management, and workspace subscription features for clinic owners.

The Service is a tool for clinic staff. It does not provide medical advice, diagnosis, or treatment. Clinical decisions remain with licensed practitioners at your clinic.

We may update features, interfaces, or availability over time. We do not guarantee uninterrupted or error-free operation.

You must provide accurate account information and keep it current. You are responsible for activity under your credentials and for staff you invite to a clinic workspace.

You must protect passwords and not share accounts in ways that bypass role controls. Notify us promptly if you suspect unauthorised access.

We may suspend or terminate access if we reasonably believe these Terms are violated or the Service is being misused.

Your clinic is responsible for patient records, prescriptions, invoices, and other content entered into the Service, and for complying with applicable laws (including health and privacy laws that apply to your practice).

You must not use the Service for unlawful purposes, to harm others, to attempt to access another clinic’s workspace, to interfere with the Service, or to reverse engineer the software except where law permits.

You must not upload malware or attempt to probe or overload our systems.

AyuraCliniQ offers workspace subscriptions for clinic owners. New workspaces may start with a 60-day free trial with trial-level capacity as described on our pricing pages and in the product. No payment method is required to start the trial unless we clearly ask for one in the future.

After the trial, continued paid entitlement requires selecting a plan and completing checkout. Paid plans are prepaid for the billing period you choose (for example monthly, yearly, or multi-year options shown in the product) and include limits on clinics, doctors, and staff as described for each plan.

Subscription checkout for workspace billing is processed through our payment partner (PayU). Payment status is reconciled after checkout; paid access depends on successful verification as implemented in the Service.

Fees, taxes, and plan details are shown before checkout. Clinic patient billing inside the product (invoices to your patients) is separate from your AyuraCliniQ workspace subscription.

You retain ownership of clinic data you submit. You grant AyuraCliniQ a limited licence to host, process, and display that data solely to provide and improve the Service for your workspace.

AyuraCliniQ software, branding, documentation, and marketing materials remain our property or our licensors’. You may not copy or resell the Service except as allowed by these Terms.

Illustrative profile avatars in the signed-in workspace are generated locally using the Personas avatar style by Draftbit (draftbit.com), licensed under Creative Commons Attribution 4.0 (CC BY 4.0). Avatars are decorative identifiers and are not photographs of patients or staff.

We treat clinic workspace data as confidential in the ordinary course of providing the Service. Support may require access to account metadata or reproduction steps you provide.

The Service is provided on an “as is” and “as available” basis to the extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.

We do not warrant that the Service will meet every clinical workflow, regulatory requirement, or integration need of your clinic without configuration and professional judgement on your side.

To the extent permitted by applicable law, AyuraCliniQ and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from use of the Service.

Our aggregate liability for claims relating to the Service will not exceed the amount you paid us for workspace subscriptions in the twelve (12) months before the event giving rise to the claim, or INR 5,000 if you have not paid fees, unless a court requires otherwise.

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the maximum extent permitted.

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment where applicable, or to protect the Service or other users.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (such as liability limits and data handling where retention is required) will survive.

We may modify the Service or these Terms. We will post updated Terms on this page and update the “Last updated” date. Material changes may also be communicated in the product or by email where appropriate.

Continued use after changes become effective constitutes acceptance of the updated Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from these Terms or the Service, unless applicable law requires otherwise.
